Terms of Service

Effective date: October 27, 2026

These Terms of Service ("Terms") are the agreement between you and One Life Leads, LLC d/b/a Lead Suite OS ("Lead Suite OS," "we," "us," or "our"). They govern your use of the Lead Suite OS platform, websites, APIs, and related services (the "Service").

Summary of Key Points

This summary is a quick orientation. It is not a substitute for the full Terms below, which control if there is any difference.

  • What the Service is. Lead Suite OS is a CRM and communications platform, plus a lead marketplace, built for licensed U.S. life insurance agents and agencies. It includes calling, SMS/MMS, iMessage through your own Sendblue account, AI texting and voice agents, an AI underwriting assistant, lead purchases, lead forms and funnels, Secure Forms, integrations, and billing tools. It is for business customers only.
  • Your key obligations. You are the sender of every call and message made through your account, and you are solely responsible for complying with the TCPA, Do-Not-Call rules, state telemarketing laws, carrier rules, and call-recording laws. You must hold valid consent for every contact you message or call, hold your insurance licenses and appointments, follow insurance advertising laws, and clearly disclose when you use AI or record a call.
  • Payments. Fees, subscriptions, prepaid wallet balances, auto-recharge, and usage-based telecom and AI charges are billed through Stripe. Subscriptions renew automatically. Fees are non-refundable except as stated in our Refund Policy. Please contact support before starting a chargeback.
  • Liability limits. The Service is provided "as is." Our total liability is capped at the greater of the fees you paid in the prior 12 months or US$100, and we exclude consequential damages.
  • Disputes. We start with informal negotiation. Unresolved disputes go to binding individual arbitration under the AAA Commercial Rules, seated in New London County, Connecticut, with a class action waiver. You can opt out within 30 days (see Section 19). Small claims court remains available. Connecticut law governs.
  • Termination. You can cancel at any time. We can suspend or terminate for violations, and we may suspend calling or messaging immediately on complaints, carrier notices, or suspected violations. You have 30 days after termination to export your data.
  • Contact. legal@onelifecrm.com, or One Life Leads, LLC, 50 Cockle Hill Rd, Salem, CT 06420, United States.

Contents

1. Welcome & Agreement

Welcome to Lead Suite OS. We build software that helps licensed life insurance professionals manage leads, talk to prospects, and run their business. Because the Service involves regulated activities like calling, texting, and insurance sales, these Terms are more detailed than most. Please read them carefully.

Acceptance

By creating an account, clicking "I agree," or using the Service, you accept these Terms and agree to be bound by them. If you accept on behalf of a company or agency, you confirm you have authority to bind it, and "you" means that business. If you don't agree, don't use the Service.

Electronic Acceptance and Records

We use clickwrap acceptance. When you accept, we keep a versioned receipt that records which version of the Terms you accepted, along with the date and time. You agree that clicking to accept, and other electronic records and signatures, are legally binding and have the same effect as a handwritten signature.

Incorporated Documents

These Terms incorporate our Privacy Policy, our Refund Policy, our Lead Replacement Policy, and any other policies or order forms we present to you through the Service (together, the "Policies"). Section 18 explains which document controls if they conflict.

Questions

Reach us any time at legal@onelifecrm.com. These Terms were last updated on October 27, 2026.

2. About Our Service

What We Provide

Lead Suite OS is a CRM and communications platform combined with a consumer lead marketplace. Depending on your plan, the Service includes:

  • Voice calling: a browser softphone, multi-line power dialer, answering-machine detection, prerecorded voicemail drop, and local-presence caller ID.
  • Messaging: SMS/MMS, iMessage through your own Sendblue account, and A2P 10DLC brand and campaign registration.
  • AI features: AI SMS agents, AI voice calling with recording and transcription, and an AI underwriting assistant.
  • Lead Marketplace: real-time and aged lead purchases.
  • Lead capture: embeddable lead forms, funnels, and websites on custom domains, plus Secure Forms.
  • Integrations: Google, GoHighLevel, Ringy, Zoom, webhooks, and our public API.
  • Billing tools: subscriptions, a prepaid wallet, auto-recharge, and usage-based telecom and AI charges.

Who Can Use the Service

The Service is for businesses and professionals only, specifically licensed insurance agents and agencies. It is not for consumers. To use it you must be at least 18 years old, able to form a binding contract, and (where your activities require it) properly licensed and appointed. You may not use the Service if you are barred from doing so under applicable law.

Third-Party Services

The Service relies on and connects to third-party providers. Depending on the features you use, these may include Stripe (payments), Telnyx and Twilio (telecommunications), Sendblue (iMessage), OpenAI, Moonshot AI, and Deepgram (AI and speech services), Supabase, Vercel, and Cloudflare (infrastructure, hosting, and network services), Google, GoHighLevel, Ringy, Zoom, and Meta (integrations and connected platforms), and Scamalytics, Trestle, and MyEmailVerifier (fraud, contact, and email screening and verification). Each provider's own terms and privacy policy govern its handling of data, and we encourage you to review them. If you connect an integration or use your own third-party account (such as Sendblue), you are responsible for your agreement with that provider, and we are not responsible for that provider's services.

Telecommunications Services

Please read this part carefully, because it affects how you rely on the Service.

  • Calling and messaging are delivered through third-party carriers and communications providers.
  • The Service is not a replacement for traditional telephone service and does not support 911 or other emergency calls. Do not rely on it to reach emergency services.
  • We do not guarantee number portability, message or call delivery, answer rates, or that carriers will not filter, block, label, or throttle your traffic.
  • We may suspend calling or messaging immediately, without prior notice, on complaints, carrier or regulator notices, or suspected violations of these Terms or applicable law. Carriers can act quickly, and we need to be able to protect the shared network and our other customers.

Lead Marketplace

When you buy leads through the marketplace:

  • Leads are sold as-is. We do not guarantee that any lead will answer, qualify, convert, or produce a sale.
  • You are responsible for verifying that you have valid consent before contacting any lead by call, text, email, or any other channel. Buying a lead does not authorize you to contact it in any manner.
  • Aged leads may have been sold to other buyers.
  • The only remedy for a defective lead is replacement under our Lead Replacement Policy.
  • You may not resell, share, or transfer purchased leads without our prior written permission. You may use them to market insurance products you are licensed to sell.

Secure Forms

Secure Forms may be used only to collect information that your client voluntarily provides for a legitimate insurance application, such as Social Security number, driver's license, bank account details, payment card details for premium payment, date of birth, and beneficiary information. Secure Form data is encrypted, protected by a PIN, available for one-time retrieval, and automatically purged within about 60 minutes after retrieval or expiry. We process it only as your service provider. You are responsible for:

  • your own obligations under the Gramm-Leach-Bliley Act, state insurance data security laws, and carrier requirements;
  • entering any payment card information you retrieve directly into the carrier's application or payment system, and never copying, storing, emailing, or texting it elsewhere;
  • complying with the Payment Card Industry Data Security Standard (PCI DSS) in your own handling of card data.

We may disable card fields in Secure Forms at any time.

Support and Administrative Access

Our support and administrative staff may access your account to provide support, troubleshoot, maintain security, and comply with law. This can include impersonation sessions that let us see the Service as you see it. We log these sessions and limit access to what's reasonably needed for the purpose. By using the Service, you authorize this access. If you ask for help, you also authorize us to view the relevant account content.

Service Availability

We work to keep the Service running and to improve it, but we don't promise uninterrupted or error-free operation. We may modify, update, or discontinue features, and we may perform maintenance that causes downtime. Section 15 explains our service level position in plain terms.

3. Your Account

Registration

To use the Service you must create an account and give us accurate, current, and complete information, including your name, email, phone number, and business and license information. You agree to keep that information up to date. We may ask you to verify your license, appointments, or identity, and we may decline or revoke access if we can't.

Account Security

You are responsible for protecting your login credentials and for all activity under your account, including activity by your team members, API keys, and integrations. Notify us promptly at legal@onelifecrm.com if you suspect unauthorized access. We aren't liable for loss resulting from your failure to safeguard your credentials.

Accuracy

You promise that the information you give us is true, that your licenses and appointments are valid in every jurisdiction where you operate, and that you will tell us promptly if they lapse or are restricted.

Account Sharing

Accounts are for the business that registered them. Don't share credentials among people outside your organization, and don't let unlicensed persons use the Service to conduct activities that require a license. Each individual user must have their own account so that access and activity stay attributable.

Cancelling Your Account

You can cancel at any time through your account settings or by contacting us. Cancellation stops future renewals but doesn't refund fees already paid unless the Refund Policy says otherwise. Section 20 explains what happens to your data.

4. Acceptable Use

You may use the Service for lawful business purposes related to your licensed insurance activities. Many of the legal risks in this industry sit with the person who places the call or sends the message. Under these Terms, that is you.

You Are the Sender

You are the sender and initiator of every call and message made through your account. We provide software and connect to carriers, and we do not decide whom you contact, what you say, or when. You are solely responsible for complying with all laws and industry rules that apply to your outreach, including:

  • The Telephone Consumer Protection Act (TCPA) and FCC rules, including one-to-one consent requirements and honoring revocation of consent by any reasonable means.
  • The Telemarketing Sales Rule, including call abandonment rate limits, caller ID requirements, and calling-hour restrictions.
  • The National Do-Not-Call Registry, state Do-Not-Call lists, and your own internal do-not-call list.
  • State telemarketing and "mini-TCPA" laws, such as the Florida Telephone Solicitation Act, and the laws of Oklahoma, Maryland, and Washington, among others.
  • CTIA messaging guidelines and carrier A2P 10DLC rules.
  • CAN-SPAM, Canada's Anti-Spam Legislation (CASL), and the Truth in Caller ID Act.

You represent and warrant that you hold lawful, documented consent for every contact you import, upload, message, or call through the Service, in the form the law requires for the channel and content. You must be able to produce proof of that consent on request, and you must honor opt-outs and revocations promptly across all channels. Importing a list into the Service does not make it compliant.

No Spoofing or Misleading Caller ID

Local-presence caller ID may be used only with numbers you are authorized to use and in a way that complies with the Truth in Caller ID Act and applicable law. You may not spoof, falsify, or mask caller ID to mislead or defraud, or to cause harm.

Prerecorded Messages and Power Dialing

Voicemail drop and any other prerecorded or artificial-voice message are "calls" under the TCPA. You may use them only with the prior express written consent the law requires for that message type. When using the power dialer, you are responsible for keeping call abandonment within Telemarketing Sales Rule limits (including connecting answered calls to a live person within two seconds of the greeting, or playing the required prerecorded identification message), and for configuring answering-machine detection and line counts accordingly.

Caller ID and Number Rotation

Local-presence and number-rotation features may be used only with numbers you are authorized to use, that are registered to you, and that will accept return calls identifying you. You may not rotate, cycle, or replace numbers to avoid carrier spam labeling, call blocking, or consumer complaints, or to get around Do-Not-Call requests. Some states restrict caller ID practices; you are responsible for complying with them.

Call Recording

You are responsible for obtaining every consent required to record calls, including in states that require all-party consent. You must give any required recording disclosures at the start of the call. Where the Service records or transcribes calls, you must make sure the disclosure is given. If you can't obtain consent, don't enable recording.

Our Text Messages to You

By providing a mobile number at sign-up, you agree that we may send you text messages about your account, including verification codes, security alerts, billing and payment-failure notices, new-lead and order alerts, and service announcements. Message frequency varies. Message and data rates may apply. Reply STOP to opt out of non-essential messages and HELP for help; you may also contact legal@onelifecrm.com. Opting out of security and verification codes may limit your ability to use the Service. Carriers are not liable for delayed or undelivered messages.

AI Communications

If you use AI SMS agents, AI voice calling, or other AI features to communicate with people, you agree that you will:

  • Clearly disclose that the person is interacting with AI and, where applicable, that the interaction is recorded or transcribed.
  • Never use AI to impersonate a human or deny being AI when someone asks.
  • Obtain prior express written consent before placing any call using an AI voice, as such calls may be treated as artificial or prerecorded voice calls under the TCPA.
  • Comply with all other laws applying to automated or AI-assisted communications.

Section 21 covers AI features in more detail.

Insurance Licensing and Advertising

You must hold every insurance license and carrier appointment required for the products you sell and the states in which you sell them. You must follow state insurance advertising and unfair trade practice laws. You must not imply an affiliation with any government agency, including the Department of Veterans Affairs or any VA program, and you must not guarantee approval, acceptance, or rates. We are not an insurance agency or carrier, and we do not provide insurance advice or licensing guidance.

Prohibited Conduct

You may not, and may not permit others to:

  • Violate any law or regulation, or send communications without required consent.
  • Contact numbers on Do-Not-Call lists without a valid exemption, or ignore opt-out requests.
  • Use the Service to send spam, phishing, scams, deceptive or misleading content, or content that is harassing, threatening, hateful, or unlawful.
  • Use the Service for any purpose other than lawful insurance-related business activity.
  • Make fraudulent, deceptive, or misleading statements to consumers about products, carriers, pricing, or eligibility.
  • Resell purchased leads, or resell or sublicense the Service, without our written permission.
  • Collect payment card data through Secure Forms, or collect information through Secure Forms that the client has not voluntarily provided for a legitimate insurance application.
  • Scrape, reverse engineer, decompile, or attempt to extract source code or models from the Service, except where law allows.
  • Probe, scan, or test the Service's vulnerabilities without our written permission, or interfere with its security or performance.
  • Use automation, scripts, or the API in a way that exceeds your plan limits or degrades the Service for others.
  • Introduce malware or malicious code.
  • Circumvent suspension, usage limits, or technical protections, or open new accounts to evade a suspension or termination.
  • Use the Service to build a competing product, or to train a competing AI model.

Consequences of Violations

If we believe you have violated these Terms or the law, we may do any of the following, with or without notice:

  • Immediately suspend calling, messaging, or other features.
  • Remove content.
  • Suspend or terminate your account.
  • Withhold refunds.
  • Report the matter to carriers, regulators, or law enforcement.
  • Pursue other remedies available to us.

We will try to give you a chance to fix issues when it is safe and practical to do so. We are not obligated to when carrier notices, complaints, or legal risk require faster action.

Reporting

If you see misuse of the Service, or receive a complaint about messages or calls sent through it, tell us at legal@onelifecrm.com. For copyright concerns, see Section 5.

5. Content & Intellectual Property

Who Owns What

Our property. We own the Service, including its software, design, interfaces, documentation, trademarks, and all related intellectual property, and everything we create or improve. These Terms give you a right to use the Service and don't transfer ownership of anything.

Your property. You own the data and content you upload to or generate through the Service, such as your contacts, notes, messages, call recordings and transcripts, forms and funnels, and templates ("Customer Content"). You are responsible for it, including for having the rights and consents needed to put it into the Service.

Marketplace leads. When you purchase a lead, you receive a limited, non-exclusive right to use that lead's information to market insurance products you are licensed to sell, subject to Section 2 and our Lead Replacement Policy. We keep our own rights in the lead information we collect and sell as an independent business (see Section 7).

License You Grant Us

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and otherwise use Customer Content only as needed to operate, secure, support, and provide the Service to you. That includes sending content to the carriers, integrations, and service providers that deliver the features you use, preventing fraud and abuse, troubleshooting, complying with law, and enforcing these Terms. The license ends when we no longer hold your Customer Content, subject to Section 20.

This license does not include any right to use Customer Content to train, fine-tune, or develop foundation AI or machine learning models. It does include the limited right to use redacted conversation excerpts to improve our AI agents, as described in Section 21.

Aggregated and De-identified Data

We may create and use aggregated or de-identified statistics about how the Service is used (for example, feature usage counts and performance metrics) that don't identify you, your contacts, or your content, and aren't used to train foundation AI models. We own those statistics.

License We Grant You

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes during your subscription.

Feedback

If you send us suggestions or feedback, we may use them without restriction or payment. We won't identify you as the source without your permission. This does not give us any right to your Customer Content.

Lead Forms, Funnels, and Websites

If you publish forms, funnels, or websites through the Service, you are responsible for their content, disclosures, consent language, privacy notices, and compliance with law. We may remove or disable content that violates these Terms.

If you believe content on the Service infringes your copyright, send a notice to legal@onelifecrm.com that includes: your contact information; a description of the copyrighted work; the location of the allegedly infringing material; a statement that you have a good-faith belief the use is unauthorized; a statement, under penalty of perjury, that your notice is accurate and you are authorized to act for the owner; and your physical or electronic signature. We may remove material and terminate repeat infringers' accounts. If you believe material was removed by mistake, you may send us a counter-notice with the information the law requires.

6. Payments & Billing

Fees and Pricing

Fees for subscriptions, usage, and marketplace purchases are shown at sign-up, in the Service, or in your order form. Telecom and AI usage charges are billed on a usage basis and include our markup over the underlying provider cost. Prices are in U.S. dollars unless stated otherwise.

Billing Methods and Cycles

Payments are processed through Stripe. By providing a payment method, you authorize us and Stripe to charge it for all amounts due. Your billing options include:

  • Subscriptions billed in advance on a recurring cycle (monthly, annual, or as stated at purchase).
  • Prepaid wallet balances you fund and which are drawn down for usage, lead purchases, and similar charges.
  • Usage-based charges for telecom, messaging, and AI features.

Automatic Renewal

Subscriptions renew automatically at the end of each billing period for the same period, at the then-current rate, until you cancel. To avoid the next charge, cancel before the renewal date through your account settings or by contacting us.

Auto-Recharge Authorization

If you enable auto-recharge, you authorize us to charge your payment method automatically whenever your wallet balance falls below the threshold you set, in the amount you select. You can change or disable auto-recharge at any time in your account settings. Charges already made are subject to the Refund Policy.

Taxes

Fees do not include sales, use, VAT, telecommunications, regulatory, or similar taxes and surcharges. You are responsible for them, other than taxes on our net income, and we may collect them as required by law.

Failed Payments

If a payment fails, we may retry it, suspend or limit your account, and stop usage-based services until you bring your account current. You remain responsible for amounts owed.

Refunds

Fees are non-refundable except as stated in our Refund Policy. Lead refunds and replacements are handled only under the Lead Replacement Policy. Unused prepaid wallet balances and partial billing periods are also covered by the Refund Policy, so please check it before relying on any refund.

Chargebacks

If you have a billing concern, please contact our support team before initiating a chargeback so we can try to resolve it quickly. If you dispute a charge with your bank or card issuer that was valid, we may suspend or terminate your account, and we may recover chargeback fees and related costs from you, in addition to the amount of the disputed charge. We do not ask you to waive your right to dispute charges that are genuinely unauthorized or incorrect.

Subscription Changes and Price Changes

You can upgrade, downgrade, or cancel your plan through the Service. Changes typically take effect at the next billing cycle unless we say otherwise. We may change our prices, including usage rates and markups. For existing subscriptions, we will give you notice before the change applies to you, by email or in the Service. If you don't agree, you can cancel before the new price takes effect. Continued use after that point means you accept the new price.

7. Privacy

We take the data you and your contacts entrust to us seriously. Our Privacy Policy explains what we collect, how we use it, who we share it with, and the choices and rights available to you. It is part of these Terms.

Our Roles

  • Customer CRM data. For contact and lead data you upload or generate in your CRM, call recordings, and message content, we act as your service provider/processor. We process that data on your behalf and according to your instructions and these Terms.
  • Marketplace leads. For leads we collect and sell through the marketplace, we act as an independent business and are responsible for our own collection and use of that information, as described in our Privacy Policy.
  • Our own account data. For information about you as our customer, such as account, billing, and usage information, we act as an independent business.

Your Responsibilities

You are responsible for having a lawful basis and any notices and consents required to put personal information into the Service. If you handle sensitive client information through Secure Forms, you are responsible for your own Gramm-Leach-Bliley Act and state insurance privacy obligations. If you need a separate data processing addendum, contact us at legal@onelifecrm.com. If we sign one, Section 18 explains how it fits with these Terms.

How We Handle Data

We use the third-party providers described in Section 2 to deliver the Service, and we share data with them as needed for that purpose. Where personal data is transferred across borders, we use appropriate safeguards such as the European Commission's Standard Contractual Clauses where required. Our Privacy Policy also describes how certain personal information may be sold or shared and the choices and rights that apply, including under the CCPA/CPRA and, where applicable, the GDPR.

8. Disclaimers & Limitations

The Service Is Provided "As Is"

To the fullest extent the law allows, we provide the Service "as is" and "as available," and disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements.

Specific Things We Don't Guarantee

  • Leads. We don't guarantee that any lead will convert, that its information is accurate, or that you have consent to contact it.
  • Communications. We don't guarantee delivery, answer rates, caller ID display, number portability, or that carriers won't filter, block, or label your calls or messages.
  • AI outputs. AI outputs, including underwriting suggestions, are informational, may be inaccurate or incomplete, and are not underwriting decisions or insurance advice. You must independently verify them before relying on them.
  • Legal compliance. The Service's compliance-related features (such as calling-hour checks, quiet hours, opt-out handling, and consent records) are aids only. The Service does not scrub against the National Do-Not-Call Registry, state DNC lists, litigator lists, or the Reassigned Numbers Database; you must do so yourself. These features don't guarantee that your use complies with the law.
  • Third-party services. We aren't responsible for the services, availability, or acts of third-party providers, carriers, or integrations.
  • Business results. We don't promise any particular sales, revenue, or business outcome.

Limitation of Liability

To the fullest extent permitted by law:

  1. Cap. Our total liability to you for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) US$100.
  2. Exclusion of consequential damages. Neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, even if advised of the possibility.

Exceptions

These limits don't apply to liability that cannot be limited under applicable law, such as fraud or willful misconduct, to your obligation to pay fees you owe, or to your indemnification obligations under Section 14. The Service is intended for business customers. If any law gives you rights that cannot be waived, those rights remain, and our disclaimers and limits apply only to the extent the law permits.

9. Dispute Resolution

Please read this section carefully. It affects your legal rights, including your right to go to court.

Informal Resolution First

Before filing a claim, each party agrees to send written notice of the dispute and try to resolve it in good faith for at least 30 days. Send your notice to legal@onelifecrm.com or to our mailing address in Section 12, describing the problem and the relief you seek. We will do the same.

Binding Individual Arbitration

If we can't resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be seated in New London County, Connecticut, and the arbitrator will apply the law described in Section 11. The Federal Arbitration Act governs this agreement to arbitrate. Judgment on the award may be entered in any court with jurisdiction.

Class Action Waiver

You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any class or representative proceeding.

Small Claims and Injunctive Relief

Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek court injunctive relief in the state or federal courts located in Connecticut to protect its intellectual property or confidential information.

Opt-Out

You may opt out of arbitration within 30 days, as described in Section 19.

10. Changes & Termination

Changes to These Terms

We may update these Terms from time to time, for example to reflect new features, legal changes, or industry rules. For material changes, we will give you notice by email or in the Service before they take effect, and we may ask you to accept the new version again, in which case we will keep a versioned receipt. If you keep using the Service after the effective date, you accept the updated Terms. If you don't agree, stop using the Service and cancel your account. Changes don't apply retroactively to disputes that began before the change.

Termination by You

You can stop using the Service and cancel your account at any time. You remain responsible for fees already incurred.

Termination or Suspension by Us

We may suspend or terminate your access, in whole or in part, if:

  • You breach these Terms or any Policy.
  • We receive complaints, carrier notices, or regulator inquiries about your activity, or we suspect violations of law.
  • You fail to pay amounts due, or you initiate chargebacks on valid charges.
  • Your license or appointment lapses, or we reasonably believe your use creates legal, security, or reputational risk.
  • We discontinue the Service or the relevant feature, in which case we will give you reasonable notice where practical.

As described in Section 2, we may suspend calling or messaging immediately in the circumstances listed there.

Effect of Termination

When your account ends, your right to use the Service ends. Unpaid fees remain due. Section 20 explains how you can retrieve your data. Provisions that by their nature should survive will survive, including those on payment, intellectual property, confidentiality, indemnification, disclaimers, limitation of liability, dispute resolution, and general legal terms.

  • Governing law. These Terms and any dispute arising from them are governed by the laws of the State of Connecticut, USA, without regard to conflict-of-law rules. Section 9 governs where disputes are heard.
  • Severability. If any provision is found unenforceable, it will be enforced to the maximum extent allowed, and the rest of the Terms will stay in effect (subject to the savings clause in Section 19).
  • Entire agreement. These Terms, with the Policies and any signed order form, MSA, or DPA, are the entire agreement between us about the Service and replace all earlier agreements on the subject.
  • Assignment. You may not assign or transfer these Terms without our written consent. We may assign them, including in connection with a merger, acquisition, or sale of assets, on notice to you.
  • Waiver. A failure to enforce a provision is not a waiver of it.
  • Notices. We may give notice by email, through the Service, or at the address on your account. You may give notice to us at the contact details in Section 12.
  • Electronic communications. You agree to receive notices and records electronically, and that electronic signatures and clickwrap acceptance are binding.
  • Relationship. We are independent contractors. These Terms create no partnership, agency, employment, or fiduciary relationship, and no third-party beneficiaries.
  • Export and sanctions. You agree not to use the Service in violation of applicable export or sanctions laws.

12. Contact Information

We're happy to help with questions about these Terms.

We read every message and aim to reply within a reasonable time. Urgent matters, such as a carrier notice or suspected account compromise, should be marked as urgent in the subject line.

13. Confidentiality

Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Examples include non-public business plans, pricing, technical information, and your Customer Content. Each party agrees to:

  • Use the other party's Confidential Information only to perform or use the Service under these Terms.
  • Protect it with at least reasonable care.
  • Disclose it only to those who need to know it and are bound by similar obligations.

Confidential Information does not include information that:

  • Is or becomes public through no fault of the receiving party.
  • Was already known to the receiving party without a confidentiality obligation.
  • Is independently developed without using the other party's Confidential Information.
  • Is lawfully received from a third party without restriction.

A party may disclose Confidential Information when required by law, subpoena, or court order, if it gives the other party prompt notice (where legally allowed) and discloses only what is required. These obligations continue after these Terms end, for Customer Content as long as we hold it and otherwise for as long as the information remains confidential.

14. Indemnification

Your Indemnification

You agree to defend, indemnify, and hold harmless One Life Leads, LLC d/b/a Lead Suite OS, and its members, officers, employees, and agents, from and against third-party claims, and related losses, damages, fines, penalties, settlements, and reasonable attorneys' fees, arising from:

  • Customer Content you upload or generate, including any claim that it infringes rights or that you lacked the consent or rights needed to use it.
  • Your calls, messages, and other outreach, including any claim, fine, or penalty under the TCPA, Do-Not-Call rules, state mini-TCPAs, CAN-SPAM, CASL, or other messaging and telemarketing laws, and any carrier penalties or fines imposed because of your traffic.
  • Your failure to obtain required recording or AI disclosures and consents.
  • Your violation of insurance licensing, advertising, or unfair trade practice laws, or your misrepresentations to consumers.
  • Your misuse of the Service, breach of these Terms, or violation of law.

Our Indemnification

We will defend you against third-party claims alleging that the Service itself, as we provide it, infringes that third party's U.S. intellectual property rights, and we will pay damages and costs finally awarded or agreed in settlement. This does not apply to claims arising from Customer Content, combinations with products we didn't provide, modifications you made, use in violation of these Terms, or third-party services. If a claim is made, or we think one is likely, we may modify the Service, obtain a right for you to keep using it, or end the affected feature and refund prepaid fees for the unused period. This section describes our entire obligation for infringement claims.

Process

The indemnified party must give prompt written notice of the claim, let the indemnifying party control the defense and settlement (though no settlement may impose liability or admissions on the indemnified party without its consent), and reasonably cooperate at the indemnifying party's expense.

15. Service Levels

We do not currently offer a contractual uptime commitment or service credits for the Service. We work to keep it reliable, but availability is not guaranteed, and downtime does not entitle you to credits or refunds unless a signed order form says so. If you need a specific service commitment, contact us at legal@onelifecrm.com, and any commitment will apply only if it is in a signed writing. Communications features also depend on third-party carriers and providers outside our control.

16. Force Majeure

Neither party is liable for a failure or delay in performing its obligations (other than payment obligations) caused by events beyond its reasonable control. These include natural disasters, severe weather, fire, war, terrorism, civil unrest, pandemics, government actions, labor disputes, power or internet failures, failures or outages of carriers, cloud, or other third-party providers, and cyberattacks despite reasonable precautions. The affected party will use reasonable efforts to resume performance as soon as practicable.

17. Beta and Preview Features

From time to time we may offer features labeled beta, preview, early access, or experimental. These features are provided as-is and may be incomplete, change without notice, or be withdrawn at any time. They are excluded from any service commitment, and you use them at your own risk. The Acceptable Use rules, including your compliance responsibilities, apply fully to beta features. We may ask for your feedback, and we may limit or end your access at any time.

18. Order of Precedence

If you have also signed an order form, master services agreement (MSA), or data processing addendum (DPA) with us, the documents apply in this order if they conflict:

  1. A signed DPA, for matters of personal data processing only.
  2. A signed order form or MSA.
  3. These Terms of Service.
  4. The Policies (Privacy Policy, Refund Policy, Lead Replacement Policy, and similar).

Terms in a customer purchase order or similar document don't modify these Terms unless we agree in a signed writing.

19. Arbitration Opt-Out

You can opt out of binding arbitration and the class action waiver in Section 9. To do so, send us a written notice within 30 days after you first create your account or first accept these Terms, whichever is earlier, by email to legal@onelifecrm.com or by mail to One Life Leads, LLC, 50 Cockle Hill Rd, Salem, CT 06420, United States. Your notice must include your name, your business name, the email address on your account, and a clear statement that you want to opt out of arbitration. Opting out does not affect any other part of these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Connecticut under Connecticut law.

Savings clause. If the class action waiver in Section 9 is found unenforceable as to a particular claim or request for relief, then the agreement to arbitrate is void as to that claim or request only. That claim will proceed in court, and any remaining claims will proceed in individual arbitration.

20. Data Export and Deletion on Termination

We want you to be able to leave with your data.

Export Window

After your account is terminated or cancelled, you have 30 days to retrieve your Customer Content. During that period, you can export it yourself through the Service's export tools or ask support for help, subject to the conditions below.

Format

We make exports available in commonly used, machine-readable formats, such as CSV for contact and lead records. Some items, such as call recordings and transcripts, may be available in the file format in which they are stored.

Permanent Deletion

After the 30-day window ends, we will delete or de-identify your Customer Content within a reasonable time. This is permanent, and we can't recover it afterward. Some copies may remain for a limited time in backups until they are overwritten in the ordinary course. We may also keep information we're legally required or permitted to retain, such as billing records, records needed to resolve disputes or enforce these Terms, security logs, and records of consent or compliance activity. Deletion by third-party providers is governed by their own terms and privacy policies.

Conditions

We may require that outstanding fees be paid before providing an export, and we may limit or withhold access where law or a legal hold prevents it or where your account was terminated for unlawful conduct. Leads you purchased remain subject to the restrictions in Section 2. If you want your data deleted sooner, tell us at legal@onelifecrm.com, but please export first, because deletion is permanent.

21. AI Content and Training

Lead Suite OS includes AI features, including AI SMS agents, AI voice calling with recording and transcription, and an AI underwriting assistant. They are powered by third-party AI and speech providers, which may include OpenAI, Moonshot AI, and Deepgram. This section explains how we handle your content in those features.

Training

We do not use your Customer Content to train, fine-tune, or develop foundation AI or machine learning models, and we do not permit our AI providers to do so. We send Customer Content to AI and speech providers only as needed to generate the output, transcription, or response you requested and to operate, secure, and support the Service. Each provider's own terms and privacy policy govern how it handles data, and we encourage you to review them.

AI quality improvement. To improve the quality and compliance of our AI agents, we may have AI conversations graded (including by an AI model) and reviewed by our staff. Short excerpts of human-confirmed, high-quality conversations (which may include messages from your contacts) may be redacted to remove names, contact details, and other identifiers and used as example responses for AI agents offered across the Service. We do not use excerpts that contain Social Security numbers, financial account numbers, or health information. Recordings and transcripts are retained as described in our Privacy Policy. Such excerpts are not used to train foundation models. You may ask us to exclude your account's conversations from this process by emailing legal@onelifecrm.com.

AI Output May Be Inaccurate

AI output, including text messages, voice responses, transcripts, summaries, and underwriting suggestions, may be inaccurate, incomplete, outdated, or inappropriate. You are responsible for reviewing AI output before relying on it or sending it to others. AI output is informational. It is not an underwriting decision, a carrier determination, or insurance, legal, or tax advice. Independently verify it against carrier guidelines and your own professional judgment.

AI Underwriting Assistant

The underwriting assistant suggests carriers your client may qualify for based on the health, age, build, and tobacco information you enter. Only enter information your client has authorized you to use for that purpose. Its suggestions may be wrong or outdated, a licensed agent must review them, and you must not tell a consumer they are approved, declined, or eligible based on the assistant's output alone.

Your Obligations When Using AI

  • You are responsible for how AI agents are configured, the scripts and instructions you give them, and the messages and calls they make on your behalf. They are made by you, as the sender.
  • You must disclose AI use and recording as required by Section 4, you must never use AI to impersonate a human or deny being AI when asked, and you must obtain prior express written consent before AI voice calls.
  • You must not use AI features to deceive, harass, or make misleading statements about insurance products, to guarantee approval or rates, or to violate any law.

Ownership of Output

As between you and us, you own the output generated for you through the Service, to the extent permitted by law. Similar output may be generated for other users, and we don't guarantee that output is unique or that it doesn't resemble existing content.
